Commercial Real Estate Paralegal

We are seeking an experienced Commercial Real Estate Paralegal with 10+ years of substantive CRE experience to join our team. This role supports high-volume, sophisticated commercial transactions across multiple asset classes, including hospitality, industrial, development, retail/shopping centers, office, NNN outparcels, and flex/industrial assets. Residential experience is not relevant for this position. Experience in a mid-size to larger law-firm environment is strongly preferred.

Key Responsibilities

  • Manage commercial real estate transactions from PSA execution through closing
  • Review and analyze title commitments, exceptions, and surveys; prepare title/survey objection letters; assist in resolving complex title/survey issues
  • Coordinate due diligence, including ordering and tracking third-party reports, estoppels, and zoning materials
  • Assist with entity formation and related corporate documentation; retrieve organizational records and certifications from Secretaries of State
  • Review operating agreements, shareholder agreements, membership transfer agreements, and other deal-related corporate records
  • Support asset and membership interest acquisitions and dispositions
  • Work with lender counsel and internal team on loan document review and lender closing checklists (deal support only — not a loan-closer role)
  • Maintain closing checklists, prepare closing deliverables, and assemble closing binders
  • Coordinate with title companies, surveyors, opposing counsel, and internal stakeholders

Qualifications

  • 10+ years of commercial real estate paralegal experience
  • Demonstrated ability to manage full deal life-cycle (PSA → diligence → closing)
  • Strong title and survey review skills with ability to draft and negotiate curatives
  • Deep understanding of corporate structure and authority requirements in CRE transactions
  • Experience with institutional-style documentation and sophisticated sponsor environments
  • Strong organizational skills, ability to multi-task, and excellent time-management
  • Energetic, positive, proactive approach with strong initiative
  • Exceptional communication and interpersonal skills

Additional Preferred Experience

  • Broader corporate experience (shareholder agreements, asset sales, membership transfers)
  • Familiarity with loan documents and lender deliverables (deal-side oversight)

Work Environment

  • In-office, 5 days per week
